Introduction

These Terms of Service ("Terms") govern your use of FieldPlexus, a software-as-a-service platform operated by FieldPlexus LLC ("FieldPlexus," "we," "us," or "our"). FieldPlexus LLC is a Florida limited liability company.

By creating an account or using FieldPlexus, you agree to these Terms. If you do not agree, do not use FieldPlexus.

Who can use FieldPlexus

You may use FieldPlexus only if:

• You are at least 18 years old
• You are using FieldPlexus for legitimate business purposes related to landscaping, lawn care, or recurring service businesses
• You have the legal authority to enter into these Terms on behalf of yourself or the business you represent
• You are not prohibited from using FieldPlexus under applicable law

FieldPlexus is intended for use by businesses in the United States. If you are accessing from outside the US, additional terms or restrictions may apply.

Your account

To use FieldPlexus, you must create an account. You agree to:

• Provide accurate and complete information
• Keep your account information up to date
• Maintain the security of your login credentials
• Notify us immediately of any unauthorized account access
• Be responsible for all activity that occurs through your account

You are responsible for all actions taken under your account, including by any employees or contractors you authorize to access it.

The service

What FieldPlexus provides

FieldPlexus is software that helps you operate your service business. Features include:

• Customer management
• Scheduling and dispatch
• Invoicing (including our "collecting invoice" system)
• Estimates
• Payment processing through Stripe
• Built-in accounting features
• Expense tracking
• Equipment maintenance tracking
• SMS notifications to your end clients (when configured)
• Email notifications to your end clients
• QuickBooks Online sync (optional)
• Bank account integration through Plaid (upcoming feature)
• AI-powered in-app support

What FieldPlexus is not

• We are not a bank, payment processor, or financial institution
• We are not your accountant or tax advisor
• We are not a debt collector
• We are not responsible for the relationship between you and your end clients
• We are not responsible for the work performed by you or your business

Subscription and payment

Subscription terms

FieldPlexus is offered on a monthly subscription basis at $79/month for unlimited users (as of the effective date — current pricing is shown at fieldplexus.com).

• Subscriptions automatically renew each month until canceled
• You may cancel at any time from your account settings
• Cancellation takes effect at the end of the current billing period
• Refunds are not provided for partial months

Payment processing

Your FieldPlexus subscription is processed through Stripe. By subscribing, you authorize FieldPlexus to charge your payment method automatically each billing period.

If a payment fails:

• We will retry the payment
• We may suspend or terminate your account if payment remains unsuccessful

Price changes

We may change subscription pricing. If we do:

• We will notify you at least 30 days in advance
• The new price takes effect at your next renewal
• You may cancel before the new price takes effect

Customer Payments (Stripe Connect)

If you connect your own Stripe account to FieldPlexus to accept payments from your end clients:

• You enter a direct relationship with Stripe — Stripe's terms govern that relationship
• FieldPlexus does not touch your customer payment funds
• Money your customers pay goes directly to your Stripe account
• FieldPlexus is not liable for payment processing fees, disputes, chargebacks, or Stripe's actions
• You are responsible for compliance with Stripe's policies and applicable laws
• You authorize FieldPlexus to initiate charges and refunds on your Stripe account on your behalf, as you direct through the FieldPlexus interface

Bank account integration (Plaid)

This section applies if you use our upcoming bank account integration feature.

Your authorization

By using the bank account integration, you:

• Grant FieldPlexus and Plaid the right, power, and authority to access and transmit your personal and financial information from the relevant financial institution on your behalf
• Agree that your information will be transferred, stored, and processed by Plaid in accordance with the Plaid Privacy Policy at plaid.com/legal/
• Acknowledge that you are the authorized holder or signatory on any bank account you connect
• Acknowledge that FieldPlexus is not a bank, is not affiliated with your bank, and does not provide banking services

Accuracy and reconciliation

FieldPlexus imports transaction data as provided by Plaid from your financial institution. While we strive for accuracy, you remain responsible for reviewing and verifying transactions. FieldPlexus is not responsible for inaccuracies originating from your bank, errors in Plaid's data, or your failure to review imported transactions.

Service limitations

Bank connections may temporarily fail or require re-authentication due to bank security policies, password changes, or other factors outside our control. We will notify you when reconnection is needed. We are not liable for missed transactions, sync interruptions, or any consequences of failed bank connections.

Disconnection

You may disconnect your bank account at any time from your settings. Upon disconnection, new transactions will no longer be imported. Previously imported transactions remain available for your records.

SMS messaging

If you use FieldPlexus to send SMS messages to your end clients:

• You are responsible for ensuring you have the right to contact your end clients
• You are responsible for compliance with the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and all applicable laws
• You agree not to send messages that are unlawful, deceptive, harassing, or otherwise inappropriate
• You agree not to send marketing or promotional messages without separate consent
• FieldPlexus may suspend or terminate your account if SMS abuse is detected

End client consent

FieldPlexus implements consent-based SMS sending. Your end clients must reply YES to a consent request before they will receive any SMS messages. FieldPlexus handles this consent flow on your behalf.

You acknowledge that:

• We require end client consent before sending SMS for compliance reasons
• We will not bypass this consent requirement
• End clients may opt out at any time by replying STOP
• Once an end client opts out, FieldPlexus will not send further SMS to them through your account

Your data

Ownership

You retain ownership of all data you enter into FieldPlexus, including your customer information, business records, financial data, and any other content.

Our license to your data

You grant FieldPlexus a limited, non-exclusive license to use your data solely to:

• Provide the FieldPlexus service to you
• Improve and maintain the service
• Generate aggregated, anonymized usage statistics
• Comply with legal obligations

We do not sell your data, share it with marketers, or use it for advertising.

Data export

You may export your data from FieldPlexus at any time using the export features built into the platform. We do not lock you in.

Data deletion

You may request deletion of your data at any time. We will delete data subject to legal retention requirements (such as tax records).

Acceptable use

You agree not to:

• Use FieldPlexus for any unlawful purpose
• Use FieldPlexus to send spam, unsolicited communications, or harassing content
• Attempt to access accounts or data belonging to other users
• Reverse engineer, decompile, or attempt to extract source code from FieldPlexus
• Use FieldPlexus to violate the rights of others (intellectual property, privacy, etc.)
• Circumvent security or authentication measures
• Overload or interfere with our servers or networks
• Impersonate any person or entity
• Use FieldPlexus to compete directly with us or develop a competing product
• Resell, sublicense, or redistribute FieldPlexus without our written permission

We reserve the right to suspend or terminate accounts that violate these rules.

Service availability

We strive to keep FieldPlexus available 24/7, but we do not guarantee uninterrupted service. The service may be unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)
• Emergency maintenance
• Network or infrastructure issues
• Third-party service failures (Stripe, Plaid, Twilio, etc.)
• Force majeure events

We are not liable for service interruptions, downtime, or data loss caused by circumstances outside our reasonable control.

Intellectual property

Our intellectual property

FieldPlexus, including its software, design, content, and trademarks, is owned by FieldPlexus LLC and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except as expressly permitted.

Your content

You retain all rights to content you create or upload to FieldPlexus. By using the service, you grant us the license described in the "Your data" section above.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

To the maximum extent permitted by law, FieldPlexus disclaims all warranties, express or implied, including:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or completeness of data
• Uninterrupted, error-free, or secure operation

You acknowledge that:

• FieldPlexus is software that helps you run your business — it does not replace your judgment
• You are responsible for verifying all financial information before relying on it
• You are responsible for consulting qualified accountants, lawyers, and tax professionals for advice specific to your situation
• We do not provide accounting, tax, or legal advice

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIELDPLEXUS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING FROM OR RELATED TO YOUR USE OF FIELDPLEXUS.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:
(A) THE AMOUNT YOU PAID TO FIELDPLEXUS IN THE 12 MONTHS PRECEDING THE CLAIM, OR
(B) $100.

This limitation applies regardless of the legal theory of the claim.

Some jurisdictions do not allow these limitations, so they may not apply to you in full.

Indemnification

You agree to indemnify, defend, and hold harmless FieldPlexus LLC and its members, employees, contractors, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

• Your use of FieldPlexus
• Your violation of these Terms
• Your violation of any law or third-party rights
• Content you upload or transmit through the service
• Your relationship with your end clients
• Your use of payment processing, SMS, email, or bank integration features

Termination

By you

You may terminate your account at any time from your settings. Termination takes effect at the end of the current billing period.

By us

We may suspend or terminate your account at any time, with or without notice, if:

• You violate these Terms
• You fail to pay your subscription
• We believe your use creates legal or security risk
• We discontinue the service
• Required by law

Effect of termination

Upon termination:

• Your access to the service ends
• We may delete your account and data after a reasonable retention period
• You may export your data before termination takes effect
• Sections of these Terms that should reasonably survive termination (intellectual property, disclaimers, limitations, indemnification, governing law) will continue to apply

Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict of laws principles.

Any dispute arising from these Terms or your use of FieldPlexus shall be resolved in the state or federal courts located in Sarasota County, Florida. You consent to personal jurisdiction in those courts.

Informal resolution first

Before filing any formal legal action, you agree to first contact us at support@fieldplexus.com and attempt to resolve the dispute informally. We will respond within 30 days.

Class action waiver

To the extent permitted by law, you agree to resolve disputes individually and waive any right to participate in a class action.

General terms

Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FieldPlexus LLC regarding your use of the service.

Modifications

We may update these Terms from time to time. We will notify you by email or in-app notice of material changes. Continued use after changes take effect means you accept the updated Terms.

Severability

If any part of these Terms is found unenforceable, the rest remain in effect.

No waiver

Our failure to enforce any part of these Terms is not a waiver of our rights.

Assignment

You may not transfer or assign these Terms. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force majeure

We are not liable for delays or failures caused by events outside our reasonable control, including natural disasters, war, pandemic, government action, or third-party service failures.
